Terms of Service

1. Acceptance of Terms
By accessing or using AgentPatch (“the Platform”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. We reserve the right to modify these terms at any time. Continued use after changes constitutes acceptance.
2. Description of Service
AgentPatch is a marketplace that enables AI agents and developers to discover, purchase, and invoke capabilities provided by third-party providers. The Platform handles discovery, authentication, billing, and request proxying. AgentPatch does not create or control the capabilities listed by providers.
3. Account Registration
- You must provide accurate and complete registration information.
- You are responsible for maintaining the security of your account credentials and API keys.
- You must be at least 18 years old or the age of majority in your jurisdiction.
- One person or entity may not maintain multiple accounts without prior written approval.
- You are responsible for all activity that occurs under your account.
4. Credits and Payments
4.1 Credit System
- Credits are prepaid and non-refundable except as required by law.
- 1 credit = $0.0001 USD. Credits have no cash value and cannot be transferred between accounts.
- Credits are deducted at the time of invocation, before the capability executes.
- Unused credits do not expire but may be forfeited upon account termination for violations.
4.2 Refunds
- Credits are refunded automatically when a capability fails due to provider error (5xx) or timeout.
- Repeated failures due to invalid input (4xx) may result in reduced or no refunds.
- Chargebacks or payment disputes may result in immediate account suspension and forfeiture of credits.
4.3 Provider Payouts
- Provider earnings are held for 14 days before becoming eligible for payout.
- Minimum payout threshold is $25 USD.
- Platform fee is 20% of gross earnings, deducted at payout time.
- Payouts require a verified Stripe Connect account.
- We reserve the right to withhold payouts pending investigation of suspicious activity.
5. Acceptable Use Policy
You agree not to use the Platform to create, distribute, invoke, or facilitate any capability that:
5.1 Illegal Activities
- Violates any applicable law, regulation, or third-party rights
- Facilitates fraud, money laundering, or financial crimes
- Involves illegal gambling or unlicensed financial services
- Distributes or facilitates access to illegal content
5.2 Harmful Content and Activities
- Generates or distributes malware, viruses, or malicious code
- Provides hacking tools, exploit kits, or vulnerability scanners for offensive purposes
- Facilitates unauthorized access to systems or data
- Enables spam, phishing, or social engineering attacks
- Generates deepfakes or synthetic media for deception or harassment
- Produces child sexual abuse material (CSAM) or content sexualizing minors
- Promotes violence, terrorism, or self-harm
5.3 Platform Abuse
- Creates multiple accounts to circumvent limits or abuse free credits
- Engages in wash trading or artificial transaction volume between colluding accounts
- Tests stolen credit cards or payment credentials
- Circumvents rate limits, security measures, or access controls
- Scrapes, crawls, or harvests data from the Platform without permission
- Interferes with the Platform’s operation or other users’ access
5.4 Intellectual Property
- Infringes copyrights, trademarks, patents, or other intellectual property rights
- Misappropriates trade secrets or confidential information
- Violates privacy rights or data protection laws
6. Provider Responsibilities
If you list capabilities on AgentPatch, you additionally agree to:
- Ensure your capability functions as described and meets reasonable quality standards.
- Respond to invocations reliably and within the specified timeout periods.
- Handle all input data in accordance with applicable privacy and data protection laws.
- Not collect, store, or misuse data beyond what is necessary to fulfill the request.
- Maintain appropriate security measures for your endpoints.
- Accurately describe your capability’s functionality, limitations, and pricing.
- Promptly address reported issues or vulnerabilities.
- Comply with all applicable laws in jurisdictions where your capability operates.
7. Consumer Responsibilities
If you invoke capabilities on AgentPatch, you agree to:
- Use capabilities only for lawful purposes and in compliance with these terms.
- Not attempt to reverse engineer, extract, or circumvent provider protections.
- Take responsibility for how you use capability outputs in downstream applications.
- Secure your API keys and report any suspected compromise immediately.
8. Content and Data
8.1 Your Content
You retain ownership of content you submit to the Platform. By submitting content, you grant AgentPatch a license to process, store, and transmit that content as necessary to provide the service.
8.2 Data Handling
- Invocation inputs are transmitted to providers and are subject to provider privacy policies.
- Job outputs are stored for 24 hours to enable polling, then automatically deleted.
- We log metadata (timestamps, status codes, latency) for operational purposes.
- We do not sell your data to third parties.
9. Disclaimers
- No Warranty: The Platform is provided “as is” without warranties of any kind. We do not guarantee availability, accuracy, or fitness for any particular purpose.
- Third-Party Capabilities: AgentPatch does not control and is not responsible for the quality, safety, legality, or reliability of capabilities provided by third parties.
- No Endorsement: Listing on the Platform does not constitute endorsement or verification of any capability or provider.
10. Limitation of Liability
To the maximum extent permitted by law, AgentPatch and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Platform. Our total liability shall not exceed the amount you paid to AgentPatch in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless AgentPatch, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your violation of these terms, or your violation of any third-party rights.
12. Termination
- You may close your account at any time by contacting support.
- We may suspend or terminate your account immediately, without notice, for violations of these terms or suspected fraudulent or illegal activity.
- Upon termination for cause, you forfeit any remaining credits and pending payouts may be withheld pending investigation.
- Sections 9-11 survive termination.
13. Dispute Resolution
Any disputes arising from these terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits or class-wide arbitration.
14. General
- These terms constitute the entire agreement between you and AgentPatch.
- Our failure to enforce any provision does not waive our right to do so later.
- If any provision is found unenforceable, the remaining provisions remain in effect.
- These terms are governed by the laws of the State of Delaware, USA.
